These Terms of Service ("Terms") govern your access to and use of the Silect platform and related services (the "Services"), provided by Silect, Inc. ("Silect," "we," "us," or "our"), an Illinois corporation. By creating an account or otherwise using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization as well as the individual user.
Our Privacy Policy is incorporated into these Terms by reference.

By registering for an account or using the Services in any way, you agree to these Terms. If you do not agree, do not use the Services.
We may update these Terms from time to time as described in Section 13. Continued use of the Services after an update takes effect means you accept the revised Terms.
The Services are intended for business use by commercial real estate professionals and related organizations. You must be at least 18 years old and have the authority to enter into a binding agreement to use the Services.
You are responsible for safeguarding your account credentials, for all activity that occurs under your account, and for keeping your account information accurate and current. Accounts may not be shared between individuals. Notify us promptly if you suspect unauthorized access to your account.
You may use the Services only for lawful business purposes consistent with their intended function. You agree not to:
We may suspend or terminate access for conduct that violates this section, as described in Section 10.
You retain ownership of the data, documents, and content you upload, email, import, or otherwise maintain within the Services ("Customer Data"). You grant Silect a limited license to access, host, and process Customer Data solely to provide and improve the Services, including any features that organize, summarize, or generate related output from that data.
You are responsible for the Customer Data you upload or import, including any data about individuals other than yourself, such as your own or your client's employees. You represent that you have the right to use and share that data through the Services and that you have satisfied any notice or consent obligations you owe to the individuals it concerns. Further detail on how we handle this kind of data is in our Privacy Policy.
The Services may integrate with or reference third-party platforms, including Gmail and Outlook. Your use of these integrations is subject to the third party's own terms, and Silect is not responsible for their availability, accuracy, or changes to their services. We are not liable for any loss arising from your use of a third-party service accessed through the platform.
Silect owns all right, title, and interest in the Services, including the underlying software, design, branding, and platform architecture. Except for the limited right to access and use the Services under these Terms, nothing here transfers any Silect intellectual property to you.
As stated in Section 4, you retain ownership of your Customer Data.
Each party may have access to confidential business information of the other in connection with the Services. Each party agrees to use reasonable care to protect the other's confidential information and to use it only in connection with the Services. We take commercially reasonable measures to protect the confidentiality and security of Customer Data, consistent with our Privacy Policy.
We aim to keep the Services available and reliable but do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable for scheduled maintenance, updates, or circumstances outside our control.
Certain features of the Services require a paid subscription. Fees, billing frequency, and payment terms are set out at signup or in an order form. Payments are processed through a third-party payment processor; Silect does not store your full payment card details.
Unless otherwise stated, subscriptions renew automatically for successive terms matching your billing cycle until canceled. You can cancel at any time through your account settings or by contacting us, and cancellation will take effect at the end of your current billing period. Fees already paid are non-refundable except as required by law or as otherwise stated at the time of purchase.
If payment is not received when due, we may suspend your access to the Services until the account is brought current.
We may suspend or terminate your access to the Services if you violate these Terms, including the Permitted Use restrictions in Section 3, or if we reasonably believe suspension is necessary to protect the Services or other users.
You may stop using the Services and close your account at any time. Upon termination, your right to access the Services ends, though certain provisions of these Terms, including Sections 4, 6, 7, 11, and 12, will survive.
Silect is a workflow and transaction management platform. We do not guarantee that data displayed, organized, or generated by the Services, including any summaries, extractions, or other output derived from documents or other content you provide, is complete, accurate, or current. You are responsible for independently verifying any property, lease, financial, or transaction information before relying on it for a business or legal decision.
To the maximum extent permitted by law, Silect and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising from or related to your use of the Services, even if advised of the possibility of such damages.
Silect's total liability arising from these Terms or your use of the Services will not exceed the amount you paid to Silect for the Services in the twelve months preceding the claim.
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, except as expressly stated in these Terms.
You agree to indemnify and hold Silect harmless from any claims, damages, or expenses, including reasonable attorneys' fees, arising from your misuse of the Services, your violation of these Terms, or Customer Data you upload or import, except to the extent caused by Silect's own breach of these Terms.
We may add, modify, or remove features of the Services over time as the platform evolves. We may also update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms or by other reasonable means, and the updated Terms will take effect as of the date stated. Continued use of the Services after that date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the jurisdiction of those courts.
